1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and AI Conexio ("Company," "we," "us," or "our") governing your access to and use of the AI Conexio website, products, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you do not have permission to access the Services.

2. Description of Services

AI Conexio provides artificial intelligence solutions for businesses, including but not limited to custom AI integrations, business automation, data analytics, and AI-powered applications. The specific features and functionality of the Services may change from time to time.

3. User Accounts

When you create an account with us, you guarantee that the information you provide is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in the immediate termination of your account.

You are responsible for maintaining the confidentiality of your account and password, including but not limited to restricting access to your computer and/or account. You agree to accept responsibility for any and all activities that occur under your account and/or password.

You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

4. Intellectual Property

Our Intellectual Property

The Services and their original content, features, and functionality are and will remain the exclusive property of AI Conexio and its licensors. The Services are protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of AI Conexio.

Your Content

By submitting content to or through our Services, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for the purpose of providing and improving the Services.

You represent and warrant that: (i) you own the content or have the right to use it and grant us the rights and license as provided in these Terms, and (ii) the submission of your content does not violate the privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person or entity.

5. AI Development and Outputs

Our Services may include developing and deploying AI solutions that generate content, predictions, or recommendations ("AI Outputs"). You understand and acknowledge that:

• AI Outputs are generated through complex algorithmic processes and may not always be accurate, complete, or suitable for your intended purpose
• We do not guarantee the accuracy, quality, or appropriateness of any AI Outputs
• You are responsible for reviewing and validating any AI Outputs before relying on them for business or other decisions

Unless explicitly stated otherwise in a separate agreement, we retain ownership of all AI models, algorithms, and systems we develop, even when customized for your use.

6. Fees and Payment

You agree to pay all fees or charges to your account based on the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. If, in our judgment, your purchase constitutes a high-risk transaction, we may require you to provide additional information or documentation.

We reserve the right to modify our pricing at any time. If you do not agree with the pricing modifications, you have the right to terminate your account.

7. Limitation of Liability

To the maximum extent permitted by law, in no event shall AI Conexio, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

8. Disclaimer

Your use of the Services is at your sole risk. The Services are provided on an "AS IS" and "AS AVAILABLE" basis. The Services are provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

AI Conexio, its subsidiaries, affiliates, and licensors do not warrant that a) the Services will function uninterrupted, secure, or available at any particular time or location; b) any errors or defects will be corrected; c) the Services are free of viruses or other harmful components; or d) the results of using the Services will meet your requirements.

9. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.

12. Indemnification

You agree to defend, indemnify, and hold harmless AI Conexio, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.
